Bumble's Public Shareholders Will Not Vote on the Sale. Two Holders Already Did.
Blackstone and Whitney Wolfe Herd approved the Ithaca deal by written consent right after signing. Wolfe Herd rolls over, and Blackstone sold stock at less than half the deal price two weeks earlier.

Bumble's sale to Ithaca Holdings is already approved. According to Bumble's Form 8-K, after the merger agreement was signed on October 12, its principal stockholders, affiliates of Blackstone and founder Whitney Wolfe Herd, delivered a written consent adopting the agreement. No further stockholder action is required. Other shareholders will receive an information statement on Schedule 14C, and the deal cannot close until 20 days after it is mailed. Because insiders are part of the transaction, Bumble will also file a Schedule 13E-3 going-private statement.
Wolfe Herd rolls over
Wolfe Herd and her affiliate Beehive Holdings III, LP signed a rollover agreement. Beehive will contribute Class A shares to Oak Topco, Inc., an Ithaca subsidiary, in exchange for equity in that company. Those shares will not receive the $6.05 cash price. The filing does not describe a rollover by Blackstone. Bumble's two-tier structure is also resolved in cash: Class B shares get $0.000001 each, and common units of Buzz Holdings, L.P., the operating partnership, get the Class A price minus that amount.
The fees and the backing
The 8-K sets a $29 million termination fee payable by Bumble and a $102 million fee payable by Ithaca in specified circumstances, including a failure to close. Ithaca must deposit its fee in escrow by October 19. Because the stockholder consent has been delivered, the main trigger for Bumble's fee no longer applies, though a 12-month tail provision remains. Equity support comes from an equity commitment letter by Greenoaks Prime Radiant LP; the filing does not state its size or mention debt financing.
Blackstone's timing
On September 28, Blackstone-affiliated funds sold about 4.8 million Bumble Class A shares for roughly $11 million, about $2.94 a share, according to a Form 144. Its June Schedule 13D/A listed 22,432,496 Class A shares, or 17.2% of the class. Two weeks after that sale, Ithaca agreed to pay $6.05. Last week we read Blackstone's steady selling as a sign of little confidence in a near-term bid. The deal shows that read was wrong on timing. The filings still do not explain why Blackstone sold when it did.
Why it matters: For founders, this is what control looks like at exit. A founder and a sponsor with voting control approved a sale of a public company by signature, and the founder kept equity in the private business while public holders were cashed out. If you are raising from institutional investors, the voting and consent terms you agree to now decide who controls your exit later. For anyone watching the deal close, the $102 million reverse fee and the escrow deadline are the best signals of Ithaca's commitment.
