Grindr Pays $250 Million to Become a Healthcare Company

Grindr is buying PurposeMed, the profitable PrEP telehealth provider behind Freddie, betting its audience is worth more as patients than as subscribers.

Grindr has agreed to buy PurposeMed Inc., the Canadian company behind the PrEP and HIV prevention telehealth service Freddie, for $250 million, according to a Form 8-K filed with the SEC on September 30. The base price is $190 million in cash and $60 million in Grindr stock, and PurposeMed's sellers can earn up to $70 million more in cash if the business hits 2027 targets. Grindr expects the deal to close in the fourth quarter.

The stock portion is 3,851,684 shares, priced at $15.58, the volume-weighted average for the 15 trading days ending September 29. Those shares carry a 12-month lock-up after closing. Either side can terminate if the deal has not closed by December 30, 2026. The filing does not say whether the cash will come from cash on hand or Grindr's credit facilities.

What Grindr is buying

Freddie was founded in Canada in 2020, expanded to the U.S. in 2024 and now operates in all 50 states. According to Grindr's shareholder letter, it has served more than 55,000 patients and had more than 25,000 active patients as of September. Grindr projects Freddie's 2026 revenue at more than $80 million and adjusted EBITDA at more than $10 million, and says the business is profitable. At the base price, that is roughly 3 times this year's projected revenue and 25 times projected EBITDA.

The bet is on distribution. Grindr says 400,000 of its U.S. users already identify as taking PrEP and estimates that more than 2 million more should be. It puts monthly revenue per active patient above $400 and expects healthcare margins above 40% at maturity. "Grindr has a direct line to millions of gay men, and Freddie brings the medical expertise to turn that reach into care," CEO George Arison said in the announcement. The company's stated goal is to connect 10 million LGBTQ+ people globally to HIV prevention resources through the app by 2028.

The core business underneath

Grindr is buying from strength. Second-quarter revenue rose 33% to $138 million with a 42% adjusted EBITDA margin, and the company raised its 2026 guidance to about $540 million in revenue and $232 million in adjusted EBITDA. On Grindr's projections, Freddie would add roughly 15% to that revenue base.

Why it matters: This is the clearest example yet of a dating company monetizing its audience outside subscriptions. Grindr is paying for a service that earns more per active patient each month than Match Group earns per payer in a year ($21.13 a month in the second quarter), and it already owns the acquisition channel. For operators with a defined community, the lesson is that the audience may be worth more than the dating product sitting on top of it. The cost is that healthcare brings regulation, clinical liability and reputational exposure that a dating app has never had to carry.
